ABOUT THE ROLE
The Contracts Administrator is responsible for completing all phases of contracts administration, including contract terms and conditions, contract administration, and customer contact activities in accordance with company policies, legal requirements, and company specifications.
This role is not an attorney-level position.
WHAT YOU'LL DO
- Support the attorney team and senior Company management in ensuring Company board materials are prepared and provided to board members in a timely manner and track presentation topics for upcoming board meetings.
- Communicate outcome of company board decisions to relevant stakeholders and maintain corporate record book of official board meeting minutes and actions by written consent.
- Assist attorney team is drafting and distribution of Company board minutes and actions by written consent.
- Manage the review and execution of a large volume of complex documentation in support of business transactions, such as “know your customer” documentation related to financing transactions and non-disclosure agreements, to ensure documents meet Company requirements and are reviewed and retained pursuant to established Company policies and procedures.
- Collaborate with attorneys, agency representatives, consultants, and vendors to negotiate, develop, and finalize contracts and agreements.
- Coordinate transaction closing and post-closing tasks and track progress. Draft and revise transaction closing documents and coordinate execution and delivery of same.
- Coordinate, develop, and produce contract documentation, such as contracts, agreements, modification task/delivery orders, solicitations, special contract provisions, certifications, and correspondence. Monitor and track deliverables.
- Collaborate with colleagues, outside parties, and federal agencies to obtain project documentation and/or coordinate issue resolution.
- Collaborate with individual department, as well as cross-functionally with other departments within the organization.
- Maintain organizational excellence in terms of Company board materials.

MINIMUM REQUIREMENTS
- Education: Associate’s degree, paralegal certificate, or equivalent years of experience.
- Experience:
- Minimum of 3 years of experience in corporate transactions or related field, to include working with legal contracts.
- Licensure/Certification: Paralegal certificate preferred.
- Technology: Proficiency with Microsoft Office Suite, and an ability to learn company-specific software programs, tools, processes, and machines. Familiarity with Docusign or similar electronic signature software a plus.
- Skills/Attributes:
- Strong interpersonal skills that foster effective collaboration with senior stakeholders.
- High level of organizational ability.
- Familiarity with transactional legal documents in their domain, with the ability to effectively analyze them.
- Effectively supports internal and external teams through legal and commercial matters by timely completing assigned tasks.
- Ability to analyze complex legal documents involving multiple internal and external parties.
- Ability to partner with attorneys on judgements within their scope of work.
- Collaborates with attorneys and/or other Contracts Administrators to collectively solve complex legal problems.
- Effectively deliver legal documents requested by internal and external counsel or parties.
